WRITING AND REGISTRATION OF CONTRACTS

Patentee/Right-holder disposes of belonging to him (her) exclusive right to the matter of individualization or the result of intellectual activity in any manner not inconsistent with the law including its alienation to another person by contract (the contract on the alienation of the exclusive right) or granting another person the right to use the relevant subjects.

Contract for the transfer of the exclusive right

The contract on the alienation of the exclusive right should be entered in the written form and subjected to obligatory registration. Non-observance of the written form or the required state registration will result in the contract invalidity.

License contract

License contract does not bring to the exclusive right transfer from Licensor to Licensee. According to the license contract a right-holder, licensor, provides or is obliged to provide the other side, licensee, the right of using specified in the contract.

The license contract should be entered in the written form, and it is subjected to state registration. Non-observance of the written form or the required state registration will result in the license contract invalidity.

Licenses can be the following: exclusive (sole), nonexclusive (ordinary), open, and forced.

Contract of commercial concession

According to the contract of commercial concession, a patentee undertakes to provide the other side, user, the right of using the complex of belonging to the patentee exclusive rights in the user’s business including the right to a trademark (service mark), as well as the rights to the other subjects of exclusive rights by the contract, in particular the commercial marking, secret of production (know-how).

The contract of commercial concession should be entered in writing, and subjected to state registration in the Rospatent.

Know-how contract

Holder of production secret can dispose of belonging to him (her) exclusive right to use it including manufacturing products, realization of economic and organizational decisions.
